These Terms of Service ("Terms") govern your access to and use of the AegisGates Vision AI platform ("Service") operated by Platinum Health Equipment Pty Ltd ("Company", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing the Service, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.
3. Service Description
AegisGates Vision AI provides AI-powered video monitoring and analytics, including:
- Real-time video feed ingestion from IP cameras and mobile devices
- AI-generated natural language descriptions of video content
- Alert notifications via email and SMS based on keywords
- Cloud storage and retrieval of video footage and metadata
- Dashboard and API access to monitoring data
Features and functionality may change at our discretion with reasonable notice.
4. Account Registration and Security
4.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You agree to:
- Provide truthful, current, and complete registration information
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4.2 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks.
5. Subscription and Payment
5.1 Pricing
Subscription plans and pricing are displayed on our website. Prices are subject to change with 30 days' notice to existing subscribers.
5.2 Billing
- Payment Processing: Payments are processed securely through Stripe
- Billing Cycle: Monthly subscriptions renew automatically on the same day each month
- Failed Payments: Service may be suspended after 3 failed payment attempts
- Taxes: Prices exclude applicable taxes (GST, VAT, sales tax) unless stated otherwise
5.3 Refunds
- Pro-Rata Refunds: Available for service outages exceeding SLA guarantees (if applicable)
- Trial Period: 14-day money-back guarantee for first-time subscribers
- No Refunds: For partial months or add-on purchases (additional cameras, storage)
5.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No refunds for unused time in the final billing period.
6. Acceptable Use Policy
⚠️ PROHIBITED USES
You agree NOT to use the Service to:
- Illegal Activities: Monitor areas where you lack legal authority or consent
- Privacy Violations: Record bathrooms, changing rooms, or private spaces without consent
- Harassment: Stalk, harass, or intimidate individuals
- Unauthorized Access: Access cameras or accounts you do not own
- System Abuse: Overload, hack, or interfere with Service infrastructure
- Resale: Resell the Service without written authorization
- Malicious Content: Upload malware, viruses, or harmful code
- Spam: Send unsolicited alerts or notifications
- False Information: Provide false identities or fraudulent payment information
Violation Consequences: Account suspension, termination, legal action, and cooperation with law enforcement.
7. Video Surveillance Compliance
⚠️ CRITICAL LEGAL RESPONSIBILITY
YOU, not the Company, are the "data controller" and legally responsible for compliance with video surveillance laws in your jurisdiction.
7.1 Your Obligations
By using the Service, you represent, warrant, and covenant that:
- You have legal authority to deploy cameras in monitored locations
- You comply with all applicable privacy and surveillance laws (GDPR, CCPA, Australian Privacy Principles, biometric privacy laws, etc.)
- You obtain necessary consents from individuals being recorded where required by law
- You post visible signage notifying individuals of video monitoring
- You limit recording to lawful purposes (security, safety, operational efficiency)
- You do not record areas with reasonable expectation of privacy (bathrooms, locker rooms, etc.)
- You respond to data subject access requests regarding recorded footage
- You implement appropriate security measures to protect recorded footage
7.2 Jurisdiction-Specific Examples
- Australia: Comply with Privacy Act 1988, Surveillance Devices Acts (state-level), Workplace Surveillance Acts
- European Union: GDPR compliance, including lawful basis (Article 6), DPIA for high-risk processing (Article 35), data subject rights (Articles 15-22)
- United States: State biometric privacy laws (Illinois BIPA, Texas CCTPA), state surveillance laws, federal wiretap laws
- United Kingdom: UK GDPR, ICO CCTV Code of Practice, Data Protection Act 2018
7.3 Indemnification for Non-Compliance
You agree to indemnify, defend, and hold harmless the Company from any claims, damages, or legal actions arising from your failure to comply with video surveillance laws (see Section 14).
8. Data and Content Ownership
8.1 Your Data
You retain ownership of all video footage, images, and data uploaded to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to process, store, transmit, and use Your Content to provide the Service and to train and improve our AI models. This includes use of AI-generated narratives and video footage for training purposes prior to their scheduled deletion. Video footage is used only within the processing window before immediate deletion; narratives may be used at any point during their 90-day retention period.
8.2 AI-Generated Content
AI-generated narratives and descriptions are provided "as-is" without warranties of accuracy. You are responsible for verifying accuracy before relying on AI outputs for critical decisions.
8.3 Company Proprietary Rights
The Service, including software, algorithms, UI/UX, logos, and trademarks, is owned by the Company and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works without written permission.
9. Service Availability and Support
9.1 Uptime
We strive for 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced with 48 hours' notice when possible.
9.2 Support
- Standard Support: Email support with 48-hour response time (business days)
- Priority Support: Available for Business and Enterprise plans (12-hour response time)
- Emergency Support: Enterprise plans only (2-hour response for critical outages)
9.3 Service Modifications
We may modify, suspend, or discontinue features with 30 days' notice. Material changes affecting core functionality will entitle you to cancel without penalty.
10. Data Retention and Deletion
10.1 Standard Retention
All subscribers receive the same data retention policy:
- Video Footage: Not stored — deleted immediately after AI processing (0 seconds)
- AI-Generated Narratives: 90 days from date of capture
- Alert Records: 90 days (same as regular narratives)
10.2 Account Deletion
Upon account deletion:
- Video footage is never stored on our servers
- AI-generated narratives and alert records are deleted immediately
- Account metadata (name, email, billing) is deleted within 90 days
- Aggregated anonymized analytics may be retained indefinitely
- Billing records retained for 7 years for tax compliance
10.3 Legal Hold
Data subject to legal proceedings, subpoenas, or regulatory investigations may be retained beyond standard periods.
11. Warranties and Disclaimers
⚠️ DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
11.1 No Warranty
We disclaim all warranties, including but not limited to:
- Merchantability, fitness for a particular purpose, non-infringement
- Uninterrupted, error-free, or secure operation
- Accuracy, reliability, or completeness of AI-generated content
- Prevention of security breaches, data loss, or unauthorized access
11.2 AI Accuracy
AI-generated narratives are not guaranteed to be accurate. Do not rely solely on AI outputs for life-safety, security, or legal decisions without independent verification.
11.3 Third-Party Services
The Service integrates with third-party providers (Stripe, Google Gemini, Twilio, etc.). We are not responsible for third-party service failures or data breaches.
12. Limitation of Liability
⚠️ LIABILITY CAP
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12.1 Exclusion of Damages
We shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Damage to reputation, emotional distress, or privacy violations
- Failure to prevent security incidents, breaches, or criminal activity
- AI errors leading to missed alerts or false positives
12.2 Exception for Gross Negligence
Liability limitations do not apply to damages caused by our gross negligence, willful misconduct, or violations of applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Platinum Health Equipment Pty Ltd, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of video surveillance laws or privacy regulations
- Unauthorized use of the Service
- Your Content or conduct on the Service
- Third-party claims related to your use of the Service
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes shall be resolved exclusively in the courts of New South Wales, Australia. You consent to personal jurisdiction and venue in these courts.
14.3 Arbitration (Optional)
For disputes under AUD $25,000, parties may agree to binding arbitration under the Australian Dispute Resolution Association (ADRA) rules.
14.4 Class Action Waiver
You waive the right to participate in class actions or representative proceedings against the Company.
15. Termination
15.1 Termination by You
You may terminate your account at any time by contacting support or using the self-service cancellation feature.
15.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or the Acceptable Use Policy
- Fail to pay fees after 14 days past due
- Engage in fraudulent, illegal, or harmful activity
- Pose a security risk to the Service or other users
15.3 Effect of Termination
Upon termination:
- Access to the Service is immediately revoked
- Video footage is retained per your plan's retention period, then deleted
- No refunds for prepaid fees (except as required by law)
- Sections 7 (Surveillance Compliance), 8 (Ownership), 11-14 (Warranties, Liability, Disputes) survive termination
16. Export Control and Sanctions
You may not use the Service in violation of export control laws or economic sanctions programs (U.S., EU, UN, Australia). You represent that you are not located in, or a national of, a sanctioned country or entity.
17. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, pandemics, wars, government actions, infrastructure failures, cyberattacks).
18. Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
19. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and any supplemental agreements, constitute the entire agreement between you and the Company regarding the Service.
21. Amendments
We may update these Terms at any time. Material changes will be communicated via:
- Email notification (30 days before effective date)
- Prominent banner on the Service dashboard
- Updated "Last Updated" date on this page
Continued use after changes constitutes acceptance. If you do not agree, you must cancel your account before the effective date.
